  • Course Description

One of the principle aims of this course is to introduce students to what is sometimes called "Code Methodology." The main purpose of the course is to help you understand various techniques in reading and interpreting the Uniform Commercial Code. These core skills are highly transferable and would help students analyze complex statutory regimes in other areas of law.

Furthermore, secured transactions is a fundamental business law course. This area of law enables borrowers to offer lenders collateral, and thus greatly increases borrowers' access to capital; security interests underpin the modern credit system, and understanding this area of law is therefore critical for business lawyers.

The course will cover Article 9, Secured Transactions. Article 9 is, in some ways, the most difficult part of the Uniform Commercial Code. It is likely to be the only exposure most students will have to the concept of security for debts. Another advantage of working with Article 9 is that the Article is more or less self-contained and presents a system within itself.

An examination will be given, probably part essay and part short answer. One or more take home projects involving drafting and interpreting parts of security agreements may also be required.
